What is this lawsuit about?

On October 12, 2022, KnowBe4 insiders initiated a $4.6 billion sale to Vista Equity Partners, claiming the deal was fair and independently overseen. In reality, insiders rolled over nearly $800 million in equity, suppressed competing bids, and guaranteed merger approval through a dual-class vote structure.

$KNBE was delisted in February 2023, forcing shareholders out at $24.90—far below internal valuations and suppressed offers.

Then, on June 5, 2025, shareholders filed a claim against KnowBe4, accusing it of rigging a take-private merger to benefit insiders while misleading public investors.
