KPIT Technologies to Invest $10 Million in Helm.ai, Updates Acquisitions
KPIT Technologies' board has approved an investment of up to US$ 10 million in Helm.ai via a SAFE Instrument in preferred stock. The board also approved updates on the acquisitions of Caresoft and N-Dream AG.
The investment in Helm.ai, an AI software company for self-driving cars, will be made in one or more tranches, subject to the company's satisfaction with synergy parameters. This investment will not result in Helm.ai becoming a subsidiary of KPIT, and KPIT will not have any participative rights.
In addition to the investment, the board provided an update on the acquisition of Caresoft. The consideration for the acquisition has been finalized at up to US$ 157 million, including US$ 15 million in variable pay based on the achievement of revenue and other business synergy milestones. The consideration can be paid in one or more tranches over four years, and other terms and conditions remain unchanged.
The acquisition of Caresoft will strengthen KPIT's Vehicle Engineering & Design and Truck, Off-Highway offerings by integrating downstream engineering and benchmarking services. This is expected to help KPIT achieve a faster go-to-market for products and result in cost savings for OEMs.
The board also updated the acquisition of N-Dream AG. KPIT is increasing its stake in N-Dream to 51% at a consideration of Euro 6.5 million. Consequently, N-Dream will become a subsidiary of KPIT. Going forward, KPIT shall acquire a stake up to 90% in two or more tranches during the current financial year.
The board meeting commenced at 02:20 pm IST and concluded at 04:00 pm IST on August 8, 2025.
