Fibo Group AS - Receipt of regulatory approval for the sale of 100% of the shares in Fibo Holding AS with subsidiaries to Norcros plc

Reference is made to the announcement on 15 July 2025, regarding the agreementbetween (1) Norcros Industry (International) Limited ("Norcros") (2) Norcrosplcand (3) the existing shareholders of Fibo Holding AS ("Fibo") for theacquisition by Norcros of 100% of the shares in Fibo (the "Transaction"). Fibois pleased to announce that the required regulatory approvals for completionofthe Transaction have now been received and the Transaction is expected tocomplete today. As previously announced, Fibo intends to fully redeem the senior secured bondsissued by its subsidiary Fibo Group AS with ISIN NO 0011204356 subject tocompletion of the Transaction.
